Business terms of service

The contract for business access to FleetStart Radar and its enabled signal products.

1. Who these terms apply to

These terms are between DIGIDENT LTD (we, us or DIGIDENT) and the organisation identified during signup (Customer or you). FleetStart Radar is supplied only for use wholly or mainly in the course of a trade, business, craft or profession. It is not offered to consumers for personal use.

The person creating an account confirms that they are at least 18, have authority to bind the Customer and have supplied accurate company and contact information. If you are not acting for a business, do not subscribe.

2. Contract formation and documents

Your signup is an offer to buy the selected plan. A contract begins when we activate paid or provisional access after payment authorisation, or when we send an express order confirmation, whichever happens first. These terms, the selected plan and price, the acceptable use policy, privacy notice and incorporated data processing terms form the agreement.

If documents conflict, the order of priority is: an expressly signed order form, these terms, the data processing terms, the acceptable use policy, and other website material.

3. The service

The service monitors selected official or public sources, detects changes, scores commercial relevance and presents source-linked signals, directories, job-risk information, research links, notes, pipeline status, exports and optional email digests. Enabled products and territories depend on the plan and source availability.

The service is decision-support software. It is not legal, regulatory, financial, credit, safety or professional advice. A score is a prioritisation aid and is not a statement about solvency, compliance, quality or the likelihood of a sale. You must inspect the linked source and make your own decision before acting.

We may improve, replace or remove a feature where reasonably necessary for security, law, source terms or product development. We will give reasonable notice of a materially adverse change where practicable.

4. Public sources and attribution

The service may use Traffic Commissioner publications, Care Quality Commission data, Department for Transport Street Manager open data and other clearly identified public sources. Source data may be delayed, corrected, withdrawn, incomplete or wrong. DIGIDENT is not endorsed by, affiliated with or acting for the Traffic Commissioners, CQC, DfT, Companies House or any other public body.

Contains Department for Transport Street Manager open data licensed under the Open Government Licence v3.0. Public-sector logos and marks are not licensed to DIGIDENT.

5. Accounts and security

You must keep credentials confidential, use individual user accounts, notify us promptly of suspected compromise and ensure users leave the workspace when they no longer need access. You are responsible for activity carried out through your accounts unless caused by our breach. We may require password resets, revoke sessions or temporarily restrict access to protect the service.

6. Plans, payment and renewal

The first 20 live customer subscriptions qualify for the Founding rate of GBP 59.99 monthly or GBP 599.90 annually. The standard Regional rate is GBP 99.99 monthly or GBP 999.90 annually. Annual billing includes two months free, and subscriptions renew at their selected interval until cancelled. The checkout identifies the chosen interval before bank authorisation. Prices shown are the service price; any applicable tax will be identified before it becomes payable.

A protected promotional link may offer a different introductory monthly price for a stated number of successful monthly collections. The signup and subscription pages identify the introductory price, its duration and the continuing monthly price before payment authorisation. Unless cancelled, collection automatically continues at that disclosed continuing price after the promotional collections have completed. Promotional links may expire, have limited availability and cannot be combined unless we expressly agree otherwise.

Payments are collected by GoCardless under a Direct Debit mandate. GoCardless collects and processes bank details; DIGIDENT stores provider references and payment state, not full bank-account details. GoCardless or the relevant banking scheme may send mandatory advance notices and payment communications.

After mandate authorisation we may grant up to seven days of provisional access while the first Bacs collection processes. A failed or charged-back payment may receive a three-day grace period. Access can then be suspended without further liability until payment is resolved.

You authorise recurring collection at the displayed interval until renewal is cancelled. You must maintain a valid mandate and sufficient funds. Rights under the Direct Debit Guarantee are unaffected, but a bank refund does not remove a genuine contractual payment obligation or create a right to retain unpaid service access.

7. Cancelling renewal

You can cancel renewal from the account subscription page or by emailing digidentAI@proton.me. Monthly cancellation stops future monthly collection. Annual cancellation stops the next annual collection. Unless we agree otherwise, access continues only to the verified end of a period already paid for.

A payment already submitted to the banking system may still complete. Fees for an already-started paid period are not refundable merely because you stop using the service, except where these terms or applicable law require a refund. We will acknowledge an online cancellation by email.

8. Suspension and termination

We may suspend access immediately for non-payment, compromised credentials, unlawful use, material security risk, abusive behaviour, prohibited redistribution or a material breach. Where the issue can reasonably be fixed, we will normally explain it and allow a reasonable opportunity to remedy it.

Either party may terminate for a material breach not remedied within 14 days after written notice, or immediately where the breach cannot be remedied, the other party becomes insolvent, or continued performance would be unlawful. On termination, access ends subject to any paid-through period we expressly preserve.

9. Permitted and prohibited use

We grant the Customer a limited, non-exclusive, non-transferable right for authorised staff to use the service for the Customer's internal business operations during an active entitlement.

You must not resell, sublicense, publish, mirror, scrape or systematically redistribute the service or a substantial part of its data; bypass access controls; probe security without written permission; use the service for unlawful discrimination, harassment or misleading communications; upload malicious code; or use contact information contrary to data-protection and direct-marketing law.

You remain responsible for deciding whether, when and how to contact any organisation or person and for complying with UK GDPR, the Data Protection Act 2018, PECR and applicable marketing rules.

10. Customer content

You retain rights in notes, statuses, job details, contact details and other content you enter. You give us a limited licence to host, copy, secure and process that content only to provide, support and protect the service and meet legal obligations. You confirm that you have a lawful basis and all necessary rights to upload it.

We treat non-public Customer content as confidential and apply the data processing terms where we process personal data on your behalf.

11. Our intellectual property

DIGIDENT and its licensors retain all rights in the software, product design, detection logic, scoring, compilations, branding, documentation and improvements, excluding Customer content and third-party public-source material. Feedback may be used without restriction or payment, provided we do not identify you without permission.

12. Availability, support and changes

We use reasonable care to operate the service and monitor important failures, but do not promise uninterrupted or error-free availability. Official sources, Cloudflare, GoCardless, Resend and other dependencies may be unavailable or change without our control. Planned maintenance will be scheduled to reduce disruption where practicable.

Support is available at digidentAI@proton.me. These terms do not create a guaranteed response time or service-level agreement unless an order form states one.

13. Warranties and disclaimers

Each party warrants that it has authority to enter the agreement. We warrant that we will provide the service with reasonable care and skill. All other warranties, conditions and terms implied by law are excluded to the fullest extent permitted for a business contract.

We do not warrant that a signal will result in a sale, that every relevant event will be detected, that source data is complete or current, or that research links identify the correct decision-maker. You must verify important information independently.

14. Liability

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of title, or any liability that cannot lawfully be excluded.

Subject to that sentence, neither party is liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, business opportunity, goodwill or corrupted data. DIGIDENT's total aggregate liability arising from the agreement in any 12-month period is limited to the fees paid or payable by the Customer for the service in that period.

The limitations reflect the service price and business-only nature of the agreement and apply to contract, tort, negligence, misrepresentation, restitution and statutory duty.

15. Data protection and confidentiality

Each party must comply with applicable data-protection law. DIGIDENT is controller for account administration, security, billing records, its own marketing and creation of its public-source signal service. Each Customer is an independent controller for its prospecting decisions and use of exported information. DIGIDENT acts as processor for personal data contained in private Customer content as described in the data processing terms.

Each party must protect the other's confidential information and use it only for the agreement. This does not apply to information that is public without breach, already lawfully known, independently developed or lawfully received from another source. Required legal disclosure is permitted where notice is lawful and practicable.

16. General

Neither party is liable for delay caused by events beyond reasonable control, but payment obligations already due remain payable. The Customer may not assign the agreement without our written consent. We may assign it as part of a genuine reorganisation or transfer of the service, provided this does not materially reduce Customer rights.

Notices about breach or termination must be sent by email to the account billing email and digidentAI@proton.me. Routine product notices may be delivered in the service or by email. Failure to enforce a term is not a waiver. If a term is invalid, the remainder continues. No third party may enforce the agreement under the Contracts (Rights of Third Parties) Act 1999.

We may update these terms for law, security, source conditions or reasonable product changes. We will identify the new effective date and give reasonable advance notice of a material adverse change. Continued use after the notified date constitutes acceptance; if you do not accept, you may cancel before the change takes effect.

The agreement and non-contractual disputes are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
